These Terms and Conditions (“Terms”) govern your use of exportbali.com and any services provided by ExportBali Sourcing Agency (“ExportBali”). By accessing this website or engaging ExportBali’s services, you agree to these Terms.
1. About ExportBali Sourcing Agency
ExportBali Sourcing Agency is a sourcing and export consultancy operated by Sasha, based in Bali, Indonesia. Contact: sasha@exportbali.com
2. Website use
The content on this website is provided for general information and marketing purposes. You may not use this website to breach applicable law, transmit unsolicited communications, or reproduce any content without written permission.
3. Services
ExportBali provides sourcing, buying agent, quality control, export documentation, and logistics coordination services. Services are provided on the basis of a written quotation and, for ongoing engagements, a signed service agreement.
ExportBali is a sourcing agent. Goods are made by independent Indonesian workshops and suppliers. Freight is carried by a licensed freight forwarder. ExportBali does not manufacture goods and is not the carrier.
4. Quotations and pricing
All quotations are estimates based on information available at the time. Prices are subject to supplier pricing fluctuations, currency movements, and shipping rate changes. Quotations are valid for 14 days from issue unless stated otherwise.
5. Payment terms
A 50% deposit is required before production begins. The deposit confirms the order and fixes the agreed price. The remaining 50% is due in full before goods are collected for packing and shipping.
Shipping is quoted separately, based on the destination and the rates current at the time of booking. Shipping costs are the client’s responsibility and are payable before collection. Nothing is collected or loaded until the shipping cost has been paid.
Shipping quotations are door to port unless stated otherwise. Taxes, import duties, customs charges and any bank transfer fees in the destination country are the client’s responsibility. Payment by bank transfer (SWIFT/SEPA), Wise, or as otherwise agreed. All prices in USD unless stated otherwise.
6. Commission and fees
ExportBali charges a sourcing commission of 15% of the total value of goods sourced, excluding shipping. It covers sourcing, supplier coordination, quality control, logistics coordination and administration. The commission is stated in full in every quotation before any work begins. ExportBali does not accept hidden payments or kickbacks from suppliers.
7. Buying trip fees
A buying trip is booked at a two day minimum of USD 300, payable in advance to confirm dates. Additional days are charged at USD 150 per day. This is the total fee and covers airport and hotel transfers, all travel within Bali, pre-trip supplier research and itinerary preparation.
The booking fee is non-refundable. Preparation, supplier screening and supplier briefing begin on receipt of payment. Booked dates may be transferred once to a new date within 6 months of the original booking, or longer by prior arrangement.
Trip fees are credited against commission on a subsequent order as follows: from USD 10,000 in goods value, 50%. From USD 15,000, 75%. From USD 20,000, 100%. The total credit is capped at USD 600. Goods value excludes freight and is assessed on the final invoice. The credit applies once, to the first shipment, and expires 6 months after the last day of the trip.
Travel outside Bali is by separate arrangement. The client covers flights, accommodation and reasonable expenses in addition to the standard day rate.
8. Goods held pending consolidation
Goods purchased and held in Bali pending a further shipment are stored without charge while the client is actively working toward that shipment.
If a client does not ship and does not respond to contact for 6 consecutive months, storage charges may be applied from that date. Written notice will be sent to the client’s last known email address at least 30 days before any charge is applied.
9. Orders, changes and cancellation
Goods are made to order. Once the deposit is received and production has started, an order cannot be cancelled and the deposit is not refundable. The workshop has already committed materials and labour at that point.
Changes to a confirmed order are possible only by written agreement, and may affect the price and the production timeline.
10. Natural variation in handmade goods
Timber, stone, rattan and similar natural materials vary. Colour, grain, veining, knots, small drying cracks and minor surface pitting are characteristics of the material, not defects.
Freshly made timber pieces are lighter and more uniform in colour than pieces that have aged. A new item will not match a showroom sample that has been standing for years. Timber darkens and settles over time. This is expected and is not grounds for a claim.
Handmade goods carry small variations in dimension and finish between pieces. The client accepts completed goods on the basis that they show good workmanship and conform substantially to the agreed specification. Where an exact dimension, colour or finish is critical, it must be stated in writing in the quotation before production begins.
11. Material substitution
If a specified material becomes unavailable, ExportBali will propose an alternative of equivalent or better quality. Substitutions are made only with the client’s written agreement before production, and the client may decline. Materials are never changed without telling the client first.
12. Pre-shipment approval
Every order is photographed before it ships. When an item is finished, ExportBali inspects it at the workshop, photographs the actual goods, and sends the photographs to the client. This is done for each item in the order.
The client confirms in writing that the goods are approved. Only then is the shipping quotation issued. Nothing is collected or loaded before approval and payment of the shipping cost.
If the client does not respond within 5 working days of the photographs being sent, the goods are treated as approved and proceed to loading. This prevents storage and container costs accruing on an order that has already been paid for.
Once goods are approved, matters that were visible in the approved photographs are not grounds for a later claim.
13. Quality control
Quality control is included in the commission. Before shipping, ExportBali inspects the finished goods at the workshop against the agreed specification.
For furniture, stone and other low count items, every piece is inspected and photographed. For high count identical items, inspection is based on a representative sample, and this is stated in the quotation. Sample based inspection does not guarantee that every unit is defect-free.
14. Claims
Condition is settled before shipping, at the approval stage described in section 12. Anything that was visible in the approved photographs is not grounds for a claim.
Damage caused in transit is a matter for the carrier and the freight insurer. Insurance is available and is recommended on every shipment. ExportBali is not the carrier and does not carry the risk of transit damage, but it will supply the approval photographs, packing list and export documents needed to support an insurance claim. Minor transit damage to timber and stone can usually be repaired locally, which is often faster and cheaper than any other route.
A claim is limited to a genuine fault that was not visible in the approved photographs and was not caused in transit. Examples are the wrong item shipped, an item missing from the container, or a structural failure that could not be seen at inspection. Report it within 14 days of delivery with photographs of the fault and of the packaging.
Where a fault is genuine, ExportBali takes responsibility for putting it right and will take the matter up with the supplier directly. The remedy is one of the following, in this order. First, repair at destination. ExportBali contributes to the cost of a local repair, up to the value of its commission on the affected item. For timber and stone this is usually the fastest and least wasteful option. Second, replacement, travelling with the client’s next shipment. Third, where neither is practical, a credit of ExportBali’s commission on the affected item.
ExportBali does not manufacture the goods and does not hold the funds paid to suppliers, so it cannot refund the purchase value of the goods themselves. What it holds, and what it will return where a fault is its responsibility, is its own commission on the item concerned.
15. Designs and intellectual property
Designs, drawings and specifications supplied by the client remain the client’s property. ExportBali will not reproduce them for another client and will not share them beyond the workshop producing the order.
Where a design originates with ExportBali or with a supplier, the client may have it produced but does not acquire exclusive rights to it unless that is agreed separately in writing. Website content, photographs and written material on exportbali.com remain the property of ExportBali.
16. Limitation of liability
To the fullest extent permitted by law, ExportBali shall not be liable for indirect or consequential losses. Total liability shall not exceed the total fees paid by you in the three months preceding the claim.
17. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement, including supplier contacts, pricing data, and client product plans.
18. Governing law
These Terms are governed by the laws of the Republic of Indonesia. EU consumers retain all rights under applicable EU consumer protection law.
